BY ENTERING THE SWEEPSTAKES, YOU (“ENTRANT”) AGREE TO THESE OFFICIAL RULES, WHICH FORM A CONTRACT. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITY OBLIGATIONS ON THE PART OF ENTRANT AND A LIMITATION OF ENTRANT'S RIGHTS AND REMEDIES.
ELIGIBILITY: Open only to foodservice operators (buyers) who attend the US Foods Food Fanatics 2025 in Las Vegas, Nevada, who at the time of entry, have reached the age of majority in their state of residence. Employees, officers and directors of Tyson Foods, Inc. (“Sponsor”), their subsidiaries, affiliates, advertising and promotion agencies (collectively, the “Sweepstakes Entities”), and their immediate family members and/or those living in the same household of each are not eligible to participate. Also, resale, bid, contract managed accounts, GPO corporate offices, manufacturers, suppliers, distributors, distributor reps, sales brokers and other foodservice vendors are not eligible to participate. All federal, state, and local laws and regulations apply.
SWEEPSTAKES PERIOD: The Chef Knife Sweepstakes (the “Sweepstakes”) begins on August 20, 2025, at 9:00 AM Pacific Time (“PT”) and ends on August 20, 2025, at 5:00 PM PT (the “Sweepstakes Period”). Sponsor’s clock will be the official timekeeping device for the Sweepstakes.
HOW TO ENTER: To enter the Sweepstakes, scan your badge on the US Foods Food Fanatics App as you enter the Tyson Foodservice booth at the US Foods Food Fanatics 2025. As an alternative mode of entry (“AMOE”), you may scan the Chef Knife Sweepstakes QR code displayed on the poster in the Tyson Foodservice booth at the US Foods Food Fanatics 2025 event and submit the linked form providing your name, email address, business name, business type, and number of units. One entry per person during the Sweepstakes Period.
PRIZE: One (1) prize winner, who will be chosen by a random drawing via a computer at the end of the Sweepstakes Period from all eligible entries, will receive one (1) Red Dragon 10 inch Dragonscale Damascus Steel Chef Knife with an approximate retail value (“ARV”) of $550.00 (US). The total ARV is $550.00.
All federal, state, local, and other taxes on prizes and any other costs and expenses associated with prize acceptance and use not specified herein as being provided, are the sole responsibility of the winner. A 1099 tax form (preceded by a W9 Form) may be issued to each Sweepstakes winner.
Prizes are non-transferable. No cash redemptions or substitutions permitted, except by Sponsor, who may, in its sole discretion, substitute a prize, or any portion thereof, of equal or greater value.
The Prize on display that day will be the one awarded and shipped to the prize winner. Prize is awarded AS IS with no guarantee. All warranties, whether express or implied, including the warranties of merchantability and fitness for a particular purpose, are hereby disclaimed by the Sweepstakes Parties.
By entering, Entrants agree to abide by and be bound by the Official Rules, Sponsor's Privacy Policy, site usage terms, and by the decisions, which shall be final and binding in all matters relating to the Sweepstakes. Entrants also agree that US Foods can provide Sponsor with any data Entrant has consented to be shared in the US Foods Food Fanatics App and that any data shared with Sponsor in the US Foods Food Fanatics App may be used by Sponsor for legitimate business purposes in accordance with Sponsor’s Privacy Policy linked to these rules and all applicable laws.
WINNER NOTIFICATION/VERIFICATION: The potential prize winner will be notified by Sponsor via the email address given at the time of entry. The potential prize winner may be required to complete, sign and return an affidavit of eligibility, liability release and (where lawful) a publicity release. Failure to complete the additional eligibility requirements within five (5) days of receiving notification of being a potential prize winner or return of any prize notification as undeliverable, will result in disqualification and an alternate winner will be randomly chosen from among all remaining Entries.
RELEASE: By entering the Sweepstakes, entrants do hereby release, indemnify and hold harmless Sponsor and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers and each of their respective parent companies and each such company’s officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising from or in connection with participation in the Sweepstakes, or the acceptance, possession, use or misuse of any prize.
GENERAL CONDITIONS: Sponsor reserves the right to terminate, cancel, suspend and/or modify the Sweepstakes if any fraud, virus, technical failures or any other factor beyond Sponsor’s control corrupts the administration, security, or proper play of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right to award only the number of prizes stated in these Official Rules. No more than the number of prizes stated in these Official Rules will be awarded. The Released Parties are not responsible for lost, late, stolen, illegible, misdirected, or non-delivered entries or email; or for lost, interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Website or other connections availability, accessibility or traffic congestion, or miscommunications, or failed computer, network, telephone, satellite, or cable hardware, software or lines, or technical failure, or jumbled, scrambled, delayed, or misdirected transmissions, or computer hardware or software malfunctions, failures or difficulties, or other errors of any kind whether human, mechanical, electronic or network, or the incorrect or inaccurate capture of entry or other information or the failure to capture, or loss of, any such information.
LIMITATIONS OF LIABILITY: The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by Website users, or by any equipment or programming associated with or utilized in the Sweepstakes and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of Website. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds may be tampering with the entry process or operation of the Sweepstakes or Website, may be acting in violation of the terms of the Website or may be acting in a non-sportsmanlike or disruptive manner, or with intent to threaten, abuse or harass any other person. Any attempt to deliberately damage any Website or undermine the legitimate operation of the Sweepstakes is unlawful and subject to legal action by Sponsor or its agents. IN NO EVENT WILL SPONSOR, ITS AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, THEIR ADVERTISING OR SWEEPSTAKES AGENCIES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF ENTRANT'S ACCESS TO AND USE OF THE SWEEPSTAKES INTERNET SITE OR DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SAID SITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING IN THIS SWEEPSTAKES IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by appropriate courts in the State of Delaware; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Delaware, without giving effect to any choice of law or conflict of law rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in New Castle County, Delaware.
